Terms of Service

By accessing or using Michi (“the Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service.

These Terms of Service constitute a legally binding agreement between you and Nefra, Inc., a Delaware corporation (“Nefra”, “we”, “us”, or “our”).

If you are located in the European Economic Area, certain services are provided by our affiliated entity Sila Technologies B.V. (Antwerp, Belgium), which acts as the data controller for your personal data under GDPR.

Michi is a relationship intelligence platform for deeptech, biotech, and healthtech founders. It enables you to manage relationships with customers, partners, investors, grant agencies, and suppliers. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

• 3.1 You must provide accurate, current, and complete registration information.
• 3.2 You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
• 3.3 You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of your organisation if registering as a business.
• 3.4 You may not share your account or allow others to access the Service using your credentials.

• 4.1 The Service is offered on a subscription basis. Current pricing is available at michiplatform.com/pricing.
• 4.2 Subscriptions are billed in advance on a monthly or annual cycle, depending on your chosen plan.
• 4.3 All fees are exclusive of applicable taxes (including Belgian VAT where applicable).
• 4.4 You may cancel your subscription at any time from Settings → Billing. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial periods unless required by applicable law.
• 4.5 We reserve the right to change pricing with 30 days’ notice. Continued use after the effective date constitutes acceptance of the new pricing.

You agree not to:

• Violate any applicable law or regulation
• Upload or transmit content that infringes third-party intellectual property rights
• Attempt to gain unauthorised access to the Service, other accounts, or related systems
• Use the Service to send spam, malware, or harmful content
• Reverse engineer, decompile, or disassemble the Service
• Use automated tools to scrape or extract data from the Service without our written consent
• Resell or sublicense the Service without authorisation

• 6.1 You retain full ownership of all data you input into Michi (“Your Data”).
• 6.2 You grant Michi a limited, non-exclusive licence to store, process, and transmit Your Data solely to provide and improve the Service.
• 6.3 You are responsible for ensuring you have the lawful right to input any personal data of third parties into the Service and that doing so complies with applicable data protection laws.
• 6.4 Our processing of personal data is governed by our Privacy Policy and, where applicable, our Data Processing Agreement.

The Service, including its software, design, text, graphics, and AI models, is owned by Nefra, Inc. and protected by international intellectual property laws. Nothing in these Terms transfers any intellectual property rights to you.

Each party agrees to keep confidential the other’s non-public information disclosed in connection with the Service. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MICHI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEFRA, INC.’S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) €100. MICHI IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, EVEN IF ADVISED OF THEIR POSSIBILITY.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under Belgian law.

You agree to indemnify and hold harmless Nefra, Inc. and its officers, directors, and employees from any claims, damages, or expenses arising from your violation of these Terms or misuse of the Service.

• 12.1 You may terminate your account at any time from Settings.
• 12.2 We may suspend or terminate your account immediately for material breach of these Terms, with notice where reasonably practicable.
• 12.3 On termination, your right to use the Service ceases. Your data will be retained for 30 days and then permanently deleted, unless retention is required by law.

For users outside the EEA: These Terms are governed by the laws of the State of Delaware, United States. Disputes shall be resolved in the courts of Delaware.

For users within the EEA: Data protection matters are governed by applicable Belgian and EU law. Commercial disputes are governed by the laws of the State of Delaware.

We may update these Terms from time to time. We will provide at least 30 days’ notice of material changes via email. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
